MEMBERSHIP ACCOUNT, PASSWORD AND SECURITY

When a user opens an account, he must complete the registration process by providing Layla Allen with current, complete and accurate information as prompted by the applicable registration form. The user will also select a password. The user is responsible for maintaining the confidentiality of his password and account. In addition, the user is fully responsible for any and all activities that occur under his account. The user agrees to immediately notify Layla Allen of any unauthorized use of the user's account or any other breach of security and will not be liable for any loss that the user may incur as a result of someone else using his password or account, either with or without the user's knowledge. However, the user may be held liable for losses incurred by Layla Allen or another party due to someone else using his account or password. The user may not use another person's account at any time without the permission of the account holder.

USER SPECIFICALLY ACKNOWLEDG In no event shall D.Layla Allen or any person or entity involved in creating, producing or distributing this website be liable for any damages, including, without limitation, direct, indirect, incidental, special, consequential or punitive damages, arising out of the use of or inability to use this website. User hereby acknowledges that the provisions of this section apply to all content on this website.

None of the above parties shall be liable for any third party claims or losses of any nature, including, without limitation, lost profits, punitive or consequential damages.

F. Force Majeure - Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including, without limitation, acts of God, war, riots, embargoes, acts of civil or military authorities, fire, flood, accidents, interruptions in service due to equipment and/or software failures and/or telecommunications failures, power failures, network failures, failures of third party service providers (including Internet service and telecommunications providers). The party affected by such event shall notify the other party within a maximum of fifteen (15) days of the occurrence of the event. Thereafter, performance of this Agreement shall be suspended until any such event prevents the affected party from performing its obligations under this Agreement.

User agrees to defend, indemnify and hold harmless Layla Allen, its affiliates, and their respective directors, officers, employees and agents from and against all claims and expenses (including attorneys' fees, excluding the actual purchase price of the merchandise and shipping and handling charges) arising out of User's or User's account's use of the Layla Allen Website or products purchased thereon.

Miscellaneous

This Agreement, together with any operating rules established by Layla Allen for the Website, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior written or oral agreements between the parties with respect to such subject matter. This Agreement shall be construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law rules.
