Limitation of Liability To the maximum extent permitted by applicable law, in no event will Layla Allen® or any of its affiliates, employees, directors, officers, agents, suppliers or vendors be liable to you or anyone else for any indirect, special, incidental or consequential loss or damages arising out of or in connection with the use of or inability to use the Site, including, without limitation, loss of profits, loss of goodwill, loss of data, work stoppage, accuracy of results, or computer failure or malfunction, under any legal or equitable theory, whether in tort, contract, strict liability or otherwise, even if a Layla Allen® authorized representative has been advised of or should have known of the possibility of such damages. In addition to the foregoing, in no event will Layla Allen be liable for any damages in excess of any fees paid by you for use of the Site in the six months prior to the date on which the claim arose.

Nothing in this Agreement shall exclude or limit our liability for gross negligence and, as required by applicable law, for fraud, fraudulent misrepresentation, death or personal injury caused by negligence. Some of this section may not apply in certain jurisdictions where prohibited by applicable law.

Severability The terms of this Agreement are intended to be severable. If any provision of this Agreement is held to be invalid or unenforceable in whole or in part in any jurisdiction for any reason, such provision shall be ineffective as to such jurisdiction and to the extent of such invalidity or unenforceability shall not in any way affect the validity or enforceability of such provision in any other jurisdiction nor the validity or enforceability of the remaining provisions of this Agreement in any jurisdiction.

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Mississippi, Layla Allen®’s principal place of business, without regard to any principles of conflicts of law. You agree to bring any claim against Layla Allen® exclusively in the courts of Madison County, Mississippi.

Class Action Waiver: To the extent permitted by applicable law, you and Layla Allen® jointly own
